Terms of Service

Please read these Terms carefully before using any OceanX Ltd product or service. By using our services you agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and OceanX Ltd.

1. Acceptance of Terms

By accessing or using any product or service offered by OceanX Ltd ("we", "our", "us"), including our website at oceanxltd.com and the NEXA maritime compliance platform, you agree to be bound by these Terms of Service ("Terms").

If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use our services.

2. Description of Services

OceanX Ltd provides technology solutions for the maritime industry in Nigeria and West Africa, including:

  • NEXA: An AI-powered maritime compliance platform for vessel certificate management, compliance scoring, and regulatory alert notifications
  • Other Platforms: Academy, CarbonTrack, CrewX, FleetOps, PortLink, and WaterwayLink (in development)
  • Website: Information, resources, and access to the above services at oceanxltd.com

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Account Registration

To access certain features of our services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Keep your password confidential and not share it with third parties
  • Notify us immediately at legal@oceanx-ltd.com if you suspect any unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates Nigerian law, IMO regulations, or any applicable international maritime law
  • Upload false, misleading, or fraudulent vessel information or certificate data
  • Attempt to gain unauthorised access to any part of our services or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our software
  • Use automated tools, bots, or scrapers to extract data from our platforms without permission
  • Resell, sublicense, or commercialise our services without a written agreement with OceanX Ltd
  • Transmit malware, viruses, or any code intended to damage or interfere with our systems
  • Use our services to harass, abuse, or harm any other person or entity

5. Subscription and Payment

Some of our services are offered on a subscription basis. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide valid payment information and authorise us to charge your payment method on a recurring basis
  • Notify us of any changes to your payment information

Billing Cycle: Subscriptions are billed monthly or annually as selected at purchase.

Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are issued for partial periods.

Price Changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new pricing.

All fees are quoted in Nigerian Naira (NGN) or US Dollars (USD) as specified, and are exclusive of applicable taxes.

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to software, text, graphics, logos, icons, and the NEXA platform — are the exclusive property of OceanX Ltd and are protected by Nigerian copyright law and applicable international intellectual property treaties.

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. This licence does not include the right to:

  • Copy, modify, or create derivative works of our software or content
  • Use our trademarks, logos, or brand elements without prior written consent
  • Remove or alter any copyright, trademark, or other proprietary notices

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without any obligation to you.

7. User Content

You retain ownership of all data, documents, and content you upload to our platforms ("User Content"). By uploading User Content, you grant OceanX Ltd a limited licence to store, process, and display that content solely for the purpose of providing our services to you.

You are solely responsible for the accuracy and legality of all User Content you submit. You warrant that:

  • You have the right to upload and use the content
  • The content does not infringe any third-party intellectual property rights
  • The content is accurate and not fraudulent or misleading

We reserve the right to remove any User Content that violates these Terms or applicable law.

8. Third-Party Integrations

Our services may integrate with or link to third-party services including payment processors, cloud storage providers, and regulatory body portals (such as NIMASA and NPA systems). Your use of such third-party services is governed by their respective terms and policies. OceanX Ltd is not responsible for the availability, accuracy, or conduct of any third-party service.

9. Disclaimers

"As Is" Basis: Our services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Regulatory Advice: NEXA and our other platforms are compliance management tools. They do not constitute legal, regulatory, or professional maritime advice. You remain solely responsible for ensuring your vessels comply with all applicable regulations issued by NIMASA, NPA, IMO, and other relevant authorities.

Accuracy: While we strive to provide accurate compliance information and certificate tracking, we do not warrant that the information on our platforms is complete, accurate, or up to date. Always verify compliance status directly with the relevant regulatory authority.

Availability: We do not guarantee that our services will be available at all times, uninterrupted, or free of errors.

10. Limitation of Liability

To the fullest extent permitted by Nigerian law, OceanX Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:

  • Loss of revenue or profit
  • Regulatory fines or penalties resulting from non-compliance
  • Loss of data or business interruption
  • Any decisions made based on information provided by our platforms

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to OceanX Ltd in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless OceanX Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

  • Your use of our services in violation of these Terms
  • Your User Content
  • Your violation of any applicable law or third-party rights
  • Any fraudulent or inaccurate information you submit to our platforms

12. Termination

We may suspend or terminate your account and access to our services at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to OceanX Ltd, other users, or third parties.

You may terminate your account at any time by contacting us at legal@oceanx-ltd.com. Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date and, where appropriate, by email notification. Your continued use of our services after any change constitutes your acceptance of the new Terms.
